Worthley Pond Association By Laws


ARTICLE 1 - NAME

The name of this organization shall be "The Worthley Pond Association."

ARTICLE 2 - PURPOSE

The purpose of this Association shall be (1) to perform all acts appropriate to a non –profit, scientific, literary, and educational group dedicated to the promotion and development of environmental quality standards and (2) to preserve, enhance, and protect the advantages of Worthley Pond and its environs.

ARTICLE 3 - MEMBERSHIP

Membership shall be open to all persons interested in the purpose of the Association.

ARTICLE 4 - OFFICERS AND BOARD OF DIRECTORS

The officers of this Association shall be a President, a Vice-president, Secretary, and a Treasurer. These plus three Directors shall make up the Board of Directors.

The term of office for officers shall be one year and no officer can serve for more than two consecutive years in the same office except the Treasurer who serves with no term limit.

The term of the three Board members shall be three years- except the initial term-that shall be one year for one officer, two years for one office and three years for one officer.

ARTICLE 5 - NOMINATIONS AND ELECTIONS

The Nominating Committee shall meet at least six (6) days before the annual meeting to select a slate of officers to be voted at this Annual Meeting. The Nominating Committee of at least 3 members of the Association will be appointed at each Annual Meeting.

Elections shall be by plurality vote and shall be conducted annually.

ARTICLE 6 - DUTIES OF OFFICERS

The Board of Directors shall be responsible for conducting the Affairs of the Association between Annual Meetings.
The President shall be Executive Officer.

ARTICLE 7 MEETING

The Annual Meeting shall be held within 14 days of July 4 at a time and place to be selected by the President with the advice of the Board of Directors.

Special Meetings may be called by the President or by the petition of any ten (1 0) members. Advance notice of at least seven (7) days shall be given to members.

A voting member is defined as a member of record as of December 31st of the previous year.

The Board of Directors shall meet annually at the time of the Annual Meeting of the Association and at such times as the President or any three (3) Board Members may decide.

ARTICLE 8 - QUORUMS

Fifteen (15) members whose dues have been paid shall constitute a Quorum.

Four (4) Board Members shall constitute a Quorum for Board of Directors meetings.

ARTICLE 9 - COMMITTEES

Standing Committee shall be: Water Quality.

Other Committees may be appointed by the President and Committees shall be empowered to add to their membership as the need arises, with the approval of the Board of Directors.

ARTICLE 10 - DUES

The Board of Directors shall have the power to set the amount of Annual Dues.

The Dues for 1991 shall be TEN DOLLARS ($10.00)

ARTICLE 11 - By Laws

These By-Laws may be amended by majority vote of the membership at any Annual or Special Meeting, provided that written notice be sent to members at least ten (10) days in advance of meeting date.

ARTICLE 12

In all matters not covered by these By-Laws the Parliamentary Authority shall be the most recent of Robert Rule of Order.

ARTICLE 13

In the event of the dissolution of this Association, its assets shall be given to another association whose purposes are similar.

ARTICLE 14

These By-Laws shall be effective as soon as adopted.

Note: The name of the organization was changed from the Worthley Pond Property Owner's Association to the Worthley Pond Association at the 1997 annual meeting. The Treasurer's term of office was changed at the 2002 annual meeting.
